These Terms of Service ("Terms") govern your use of the website and services provided by 209 Labs ("we," "us," or "our"), a digital solutions company based in Manteca, California. By accessing our website or engaging our services, you agree to these Terms.

1. Services

209 Labs provides AI-powered digital solutions for small businesses, including but not limited to:

  • Custom website design and development
  • AI automation and workflow integration
  • AI chatbot development and deployment
  • Search engine optimization (SEO) and digital marketing
  • Ongoing website maintenance and support

The specific scope, deliverables, and timeline for each project will be outlined in a separate project agreement or proposal.

2. Client Responsibilities

When engaging our services, you agree to:

  • Provide accurate and complete information needed for your project.
  • Respond to requests for feedback, content, or approvals in a timely manner.
  • Ensure that all content you provide (text, images, logos) does not infringe on third-party rights.
  • Make payments according to the agreed schedule.

3. Payment Terms

  • Payment terms, including deposits, milestones, and final payments, will be specified in your project proposal or agreement.
  • Monthly service plans (maintenance, SEO, etc.) are billed on a recurring basis and may be canceled with 30 days' written notice.
  • Late payments may result in a pause of services until the account is brought current.
  • All fees are non-refundable once work has commenced unless otherwise stated in your project agreement.

4. Intellectual Property

Your Content

You retain ownership of all content you provide to us (text, images, branding assets). By providing content, you grant us a license to use it solely for the purpose of delivering your project.

Our Work

Upon full payment, you receive ownership of the custom deliverables created specifically for your project (website designs, custom code, copy). We retain the right to use generalized techniques, tools, and frameworks developed during your project and to showcase the work in our portfolio unless otherwise agreed.

Third-Party Assets

Projects may include third-party assets (fonts, stock images, plugins, APIs) subject to their own licenses. We will inform you of any ongoing licensing requirements.

5. Website Hosting & Maintenance

If you subscribe to our hosting or maintenance plans:

  • We will make reasonable efforts to ensure uptime and performance but do not guarantee 100% availability.
  • Scheduled maintenance may cause brief interruptions, and we will notify you in advance when possible.
  • We perform regular backups but recommend that you maintain your own backups of critical data.

6. AI Services Disclaimer

Our AI-powered solutions (automations, chatbots, integrations) are designed to assist and augment your business operations. However:

  • AI outputs may occasionally be inaccurate or require human review.
  • We do not guarantee specific business outcomes from AI implementations.
  • You are responsible for reviewing AI-generated content before publishing or acting on it.
  • We will work with you to fine-tune and improve AI solutions over time.

7. Limitation of Liability

To the maximum extent permitted by law, 209 Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to loss of revenue, data, or business opportunities.

Our total liability for any claim related to our services shall not exceed the amount you paid us for the specific service giving rise to the claim.

8. Termination

  • Either party may terminate a project agreement with written notice. You will be responsible for payment for all work completed up to the termination date.
  • We reserve the right to terminate services if payment is not received or if these Terms are violated.
  • Upon termination, we will provide you with all completed deliverables and any necessary access credentials.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California. Any disputes arising under these Terms shall be resolved in the courts of San Joaquin County, California.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to active clients. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
